1. Service Description

CertifyUSA provides business certification services including:

• Business verification and certification across multiple categories (Human Content, Trust Score, PCI/Payment, Green Energy, Minority-Owned, Women-Owned, Veteran-Owned, and Events)
• Embeddable trust badges that display your certification status on your website
• Public verification pages where customers can confirm your certification
• Badge scan analytics and verification statistics
• Trust Score assessment and gamified verification actions

2. Account Registration

You must create an account to use our Services. You agree to provide accurate, current, and complete information during registration and to keep your account details up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3. Subscription and Billing

CertifyUSA operates on a monthly subscription model. Current plans include:

• Basic — $1.99/month (1 badge)
• Professional — $9.99/month (up to 3 badges)
• Platinum — $29.99/month (unlimited badges)

Subscriptions are billed monthly through Airwallex, our payment processor. Your subscription renews automatically until cancelled. We reserve the right to change pricing with 30 days' notice. Price changes will not affect your current billing cycle.

4. Badge Usage Rights

Upon receiving certification, you are granted a non-exclusive, non-transferable, revocable license to:

• Embed your CertifyUSA trust badge(s) on websites you own or operate
• Display your certification status in marketing materials with proper attribution
• Link to your public verification page on certifyusa.org

You may not:

• Transfer, resell, or sublicense your badge to any third party
• Modify, alter, or create derivative works of the badge design
• Display a badge on a website or business other than the one certified
• Use a badge after your certification has expired or been revoked
• Remove or tamper with the badge verification link

5. Certification Standards

CertifyUSA reserves the sole right to approve, deny, suspend, or revoke any certification at our discretion. Grounds for denial or revocation include but are not limited to:

• Providing false or misleading information in the application
• Failing to meet or maintain the standards required for your certification type
• Engaging in fraudulent, deceptive, or illegal business practices
• Misusing the trust badge or misrepresenting your certification status
• Non-payment of subscription fees

Certification does not constitute an endorsement, warranty, or guarantee of your business, products, or services. It indicates that you have met CertifyUSA's verification criteria at the time of certification.

6. Intellectual Property

CertifyUSA owns all rights to the badge designs, logos, website content, verification system, and platform technology. Your use of our badges is licensed, not sold.

You retain ownership of all content, trademarks, and business information you provide to us. By submitting information for certification, you grant us a limited license to display your business name, logo, and certification details on your public verification page and in our directory of certified businesses.

7. Prohibited Conduct

You agree not to:

• Use the Services for any illegal purpose or in violation of any applicable law
• Attempt to reverse-engineer, decompile, or extract the source code of our platform
• Interfere with the security or integrity of the verification system
• Forge badge verification responses or create counterfeit badges
• Scrape, crawl, or collect data from our platform without authorization

8. Limitation of Liability

To the maximum extent permitted by law, CertifyUSA shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services, including but not limited to loss of revenue, loss of business, or reputational harm.

Our total liability for any claim arising from these Terms or your use of the Services shall not exceed the amount you paid to CertifyUSA in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that our Services will be uninterrupted, error-free, or secure. CertifyUSA makes no warranty regarding the accuracy or reliability of any certification determination or badge verification result.

10. Termination

You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of your current billing cycle. Upon cancellation, your badges will be deactivated and will no longer display on your website.

We may suspend or terminate your account immediately if you violate these Terms, engage in prohibited conduct, or if we determine that your certification should be revoked. We will provide notice of termination where reasonably possible.

11. Indemnification

You agree to indemnify and hold harmless CertifyUSA, its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless otherwise required by law.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of our Services after changes are posted constitutes acceptance of the revised Terms.
